Service Agreement

Plain English Summary: This agreement explains who is responsible for what. You own your content and accounts. We deliver posts as promised. You're responsible for content you post yourself. Both sides play fair.
1. Definitions
- "Service Provider," "We," "Us," "Our" refers to ProofPosts and its operators.
- "Client," "You," "Your" refers to the individual or entity subscribing to our services.
- "Personal Account Posts" — content we create for you to post on your own social media profiles (LinkedIn, X/Twitter, Facebook, Instagram, Pinterest, Threads, Bluesky).
- "Social Group Posts" — content we create for you to post in social media groups (LinkedIn Groups, Facebook Groups, X Communities).
- "Content" — all text, images, captions, and materials generated as part of the service.
- "Platforms" — third-party social media and community platforms where content is distributed.
2. Service Description
ProofPosts provides AI-powered content creation and distribution services across up to 10 platforms. Our service includes:
- Content Creation: AI-generated posts, captions, and images tailored to your brand, website, and audience.
- Standard Service: We create ready-to-post content. You copy, paste, and publish to your personal accounts and social media groups.
- Visitor Intelligence (where applicable): Website visitor identification and enrichment data for B2B sales purposes.
3. Content Responsibility & Liability
3a. Content You Post Yourself (Personal Accounts & Social Groups)
⚠️ You are fully responsible for all content you post to your own accounts and social media groups.
- While we generate content tailored to your brand, you review, approve, and publish it yourself.
- You are responsible for ensuring content complies with each platform's terms of service, community guidelines, and applicable laws before posting.
- You may edit, modify, or choose not to post any content we provide.
- We are not liable for any consequences arising from content you post, including but not limited to: account suspensions, community bans, legal claims, or third-party disputes.
- You agree to not post our generated content in a manner that is illegal, defamatory, harassing, or violates any third-party rights.
3b. Content You Post to Community Platforms
- If you choose to copy and post community platform content yourself, the same terms as Section 3a apply — you are fully responsible for all content you post.
- We provide the content; you choose where, when, and how to post it.
4. Content Ownership & Usage Rights
- All content we generate for you is yours to use for the purposes described in your subscription.
- You grant us a limited license to use anonymized versions of your content for internal training, quality improvement, and promotional purposes (e.g., showcasing sample posts — never with your brand name or identifying details without written consent).
- AI-generated images included with your posts are created using third-party AI tools. You receive a usage license consistent with those tools' terms. We do not guarantee AI images are free from resemblance to existing works.
- You retain ownership of your brand voice profile, logos, and any materials you provide to us.
5. Platform Accounts & Access
- Personal accounts remain yours. We never request passwords or direct access to your personal social media accounts.
- You are responsible for maintaining your platform accounts in good standing.
- You agree not to hold us responsible for any platform policy changes, API restrictions, or third-party service outages that affect content delivery.
6. Service Delivery Guarantee
What we guarantee:
- ✅ Delivery of the number of posts included in your subscription tier
- ✅ Posts delivered as scheduled
- ✅ Delivery within the billing period timeframe
- ✅ Content tailored to your brand voice (paid tiers with brand voice feature)
- ✅ Each post includes 1-2 custom images as described
- ✅ Verifiable proof of posting (links, screenshots)
What we do NOT guarantee:
- ❌ Specific traffic numbers, impressions, or reach
- ❌ Sales, conversions, or revenue results
- ❌ Engagement metrics (likes, comments, shares)
- ❌ SEO rankings or search visibility improvements
- ❌ Visitor identification match rates (visitor intelligence)
- ❌ That platforms will not remove or restrict posted content
7. Payment & Billing
- Subscription fees are billed monthly in advance.
- Payments are processed via secure payment links (Wise/Revolut). You will receive a payment link for your selected tier.
- Your subscription is activated upon confirmed payment. Delivery of services begins within 24-48 hours of payment confirmation.
- Failure to pay by the due date may result in service suspension until payment is received.
- All prices are listed in USD unless otherwise stated. Currency conversion fees (if any) are your responsibility.
- We reserve the right to adjust pricing with 30 days' written notice. Existing clients will be honored at their current rate for the remainder of their billing cycle.
8. Refunds & Cancellation
- Full refund if we fail to deliver your posts within 30 days of your billing date.
- Pro-rata refund for any undelivered posts if you cancel mid-cycle.
- No refunds for dissatisfaction with traffic, engagement, or sales results (see Section 6).
- Cancel anytime — no long-term contracts. Your service continues until the end of your current billing period.
- Refund requests must be submitted within 14 days of the billing date.

9. Client Obligations
To ensure smooth service delivery, you agree to:
- Provide accurate business information during onboarding (website URL, industry, target audience).
- Complete the brand voice questionnaire honestly (if applicable to your tier).
- Post provided content in a timely manner (standard service) — content is optimized for the period it was created for.
- Not resell, redistribute, or white-label our services or content without written agreement.
- Not use our service to promote illegal products, services, or activities.
- Not use our service to create or distribute spam, misleading content, or content that violates platform terms.
- Inform us of any material changes to your business, branding, or target audience that may affect content quality.
- Provide post URLs for verification (standard service) when requested, to confirm content was published.
10. Prohibited Uses
You may not use our services for:
- Promoting illegal substances, weapons, or controlled materials
- Adult content, gambling (where prohibited), or regulated financial products without proper licensing
- Hate speech, harassment, discrimination, or incitement to violence
- Impersonation of other businesses, individuals, or organizations
- Multi-level marketing (MLM) schemes or pyramid schemes
- Content that infringes copyrights, trademarks, or intellectual property of third parties
- Any activity that violates applicable local, national, or international laws
We reserve the right to immediately terminate service without refund if we discover prohibited use.
11. Visitor Intelligence Services (Where Applicable)
- Visitor intelligence data is provided for B2B sales purposes only — identifying companies and decision-makers visiting your website.
- You agree to use visitor data in compliance with GDPR, CCPA, CAN-SPAM, and all applicable privacy regulations.
- You must maintain a cookie consent banner and privacy policy on your website that discloses visitor tracking.
- You agree not to use visitor data for unsolicited mass emailing, stalking, harassment, or any purpose that violates privacy laws.
- We are not liable for the accuracy or completeness of visitor identification data provided by our third-party enrichment partners.
- Match rates and data quality may vary. No minimum match rate is guaranteed.
12. Limitation of Liability
IMPORTANT — PLEASE READ CAREFULLY:
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ProofPosts, its parent company KYLY AI, its operators, directors, employees, agents, affiliates, and contractors (collectively, "the Company") shall bear absolutely no liability whatsoever for any damages, losses, claims, or expenses of any kind arising from or related to your use of our services.
- The Company makes no guarantees, warranties, or representations — express, implied, statutory, or otherwise — regarding any results, outcomes, performance, traffic, engagement, leads, conversions, revenue, sales, rankings, visibility, or any other metric arising from the use of our services. All services are provided strictly "as is" and "as available."
- All content created by the Company is provided for the client's use. The Company acts solely as a service provider executing the client's content strategy and assumes no responsibility for the content's reception, performance, or consequences.
- The Company is not liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: loss of profits, revenue, data, business opportunities, goodwill, reputation, or anticipated savings, regardless of whether such damages were foreseeable or whether the Company was advised of the possibility of such damages.
- The Company is not liable for any actions, decisions, policies, or changes made by third-party platforms including but not limited to: account suspensions, bans, content removal, shadowbanning, algorithm changes, policy updates, terms of service changes, rate limiting, or service outages on Reddit, Discord, Telegram, Medium, Lemmy, Google Business Profile, or any other platform.
- The Company is not liable for any claims, disputes, or legal proceedings brought by third parties against the client as a result of content posted through our services.
- Our maximum aggregate liability to you for any and all claims arising from or related to this agreement shall not exceed the lesser of: (a) the total amount you paid to the Company in the 3 months immediately preceding the event giving rise to the claim, or (b) USD $500.
- For free trial users: Our maximum aggregate liability shall not exceed USD $0 (zero dollars), as no payment has been made.
- Force Majeure: The Company shall not be liable for any delay or failure to perform its obligations caused by events beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet disruptions, power failures, platform outages, cyberattacks, or regulatory changes.
- This limitation of liability shall survive the termination of this agreement and shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
13. Indemnification
You agree to indemnify, defend, and hold completely harmless ProofPosts, KYLY AI, and their respective operators, directors, employees, agents, affiliates, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including but not limited to reasonable legal fees and court costs) arising from or related to:
- Content you post yourself through personal accounts and social groups
- Content you submitted to us for use in our services
- Your use or misuse of visitor intelligence data (where applicable)
- Your violation of any third-party platform's terms of service, community guidelines, or posting rules
- Your violation of any applicable local, national, or international laws or regulations
- Any misrepresentation made by you regarding your business, products, services, or offerings
- Any third-party claim that content associated with your account infringes intellectual property rights
- Your breach of any term in this Service Agreement
This indemnification obligation shall survive the termination of this agreement.
14. Data & Privacy
- We collect and store information you provide during onboarding (name, email, business details, brand voice preferences).
- Your data is used solely for service delivery and communication about your subscription.
- We do not sell your personal data to third parties.
- We may send you service-related emails, product updates, and promotional offers. You may opt out of promotional emails at any time.
- Upon account termination, we retain your data for 90 days for record-keeping purposes, after which it is deleted.
- For CRM Pipeline Management clients: Pipeline data is stored on our systems. Upon cancellation, data is retained for 30 days and then permanently deleted.
15. Email Communications & Consent
- By subscribing to any ProofPosts service (free trial or paid), you expressly consent to receive electronic communications from ProofPosts, including but not limited to:
- Service emails: Batch approvals, post delivery confirmations, account updates, and service notifications (required, cannot be opted out).
- Product updates: New features, platform changes, and service improvements.
- Marketing communications: Newsletters, promotional offers, educational content, case studies, and partnership opportunities.
- You may unsubscribe from marketing communications at any time by clicking the unsubscribe link in any email or contacting support@proofposts.com. Service-related emails essential to your subscription cannot be opted out while your account is active.
- We will never sell or share your email address with third parties for their marketing purposes.
- This consent remains in effect until you unsubscribe or your account is terminated, whichever occurs first.
16. Service Modifications
- We reserve the right to modify, update, or discontinue features of our service with reasonable notice.
- If a platform becomes unavailable (API changes, platform shutdown), we will substitute with an equivalent platform or adjust your post allocation accordingly.
- Material changes to your subscription tier features will be communicated with 30 days' notice. You may cancel without penalty if you disagree with the changes.
17. Termination
- By You: Cancel anytime. Service continues until end of current billing period. No long-term commitment.
- By Us: We may terminate your service immediately for: prohibited use (Section 10), non-payment exceeding 14 days, abusive behavior toward our team, or fraudulent activity.
- Upon termination, your access to content generation and visitor intelligence ceases at the end of the current billing period.
- Any unposted content provided to you before termination remains yours to use.
18. Dispute Resolution
- Both parties agree to attempt good-faith resolution of any disputes through direct communication first.
- If a dispute cannot be resolved within 30 days, it shall be settled through binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- This agreement shall be governed by the laws of Singapore.
- The prevailing party in any dispute may recover reasonable legal fees and costs.
19. Free Trial & Sample Posts
- ProofPosts offers a free trial consisting of sample posts generated for your business at no cost and with no obligation.
- Free trial users are not charged and may discontinue at any time without penalty.
- Free trial posts are provided "as is" for demonstration purposes only. ProofPosts makes no guarantees, representations, or warranties regarding traffic, engagement, conversions, revenue, or any other outcome resulting from free trial posts.
- By requesting a free trial, you consent to ProofPosts collecting and storing the information you provide (name, email, business details) for the purpose of generating sample posts and communicating with you about our services.
- Free trial data is retained for 12 months after your last interaction, after which it is deleted unless you upgrade to a paid plan.
- All terms in this agreement that apply to paid subscribers also apply to free trial users, including but not limited to: limitation of liability, indemnification, data & privacy, and dispute resolution.
- ProofPosts reserves the right to modify, limit, or discontinue the free trial offering at any time without prior notice.
20. Agreement Acceptance
By subscribing to any ProofPosts service (free trial or paid), you acknowledge that you have read, understood, and agree to be bound by this Service Agreement in its entirety, including all limitations of liability, indemnification obligations, and dispute resolution procedures.
Your submission of the onboarding form, subscription activation, or use of any ProofPosts service constitutes your electronic signature and acceptance of these terms, including your consent to receive email communications as described in this agreement.
We may update these terms from time to time. Continued use of our service after notification of changes constitutes acceptance of the updated terms. Material changes will be communicated via email at least 14 days in advance.
If you do not agree to these terms, do not use our services.
